DISCLOSURE OF ACQUISITION OF SECURITIES

Shareholders and noteholders are referred to the announcement published by the Company

on 29 January 2024.

In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008, as amended, and

paragraph 3.83(b) of the JSE Limited Listings Requirements, shareholders are advised that

the Company has on 2 September 2024 received formal notification in the prescribed form

from Titan Premier Investments (Pty) Ltd ("Titan") that Titan has unwound its collateral

arrangement with respect to certain funding positions ("the unwinding"). The unwinding results

in Titan re-acquiring the beneficial interest in securities of the Company, such that the total

interest in the ordinary shares of Pepkor held by Titan is 5.34% of the ordinary issued shares

of the Company.

The Company has filed the required notice with the Takeover Regulation Panel, per section

122(3)(a) of the Companies Act, 2008.

The board of directors accepts responsibility for the information contained in this
